Terms and Conditions

Terms and Conditions for the E-shop

The purpose of these Terms and Conditions is to define and specify the rights and obligations of the seller (supplier) on one side and the buyer (customer, consumer) on the other. All contractual relationships between the seller and the buyer are concluded in accordance with the legal order of the Slovak Republic. If the contracting party is a consumer, legal relationships not regulated by these Terms and Conditions are governed by Act No. 40/1964 Coll., the Civil Code, as amended, Act No. 250/2007 Coll. on Consumer Protection, as amended, and Act No. 108/2000 Coll. on Consumer Protection in Door-to-Door and Distance Selling, as amended. If the contracting party is an entrepreneur, legal relationships not regulated by these Terms and Conditions are governed by Act No. 513/1991 Coll., the Commercial Code, as amended.


Definitions

For the purposes of these Terms and Conditions:

“E-shop” means a computer program – an internet application available on the Internet at the address Trailcentrum.sk, whose main functionality is the display, selection, and ordering of goods by the User.

“Consumer Contract” means a Purchase Agreement where the contracting parties are, on one side, the supplier and, on the other side, the consumer.

“Seller” (Supplier) means a person who, when concluding and performing a consumer contract, acts within the scope of their business or other entrepreneurial activity. This includes an entrepreneur who offers or sells products to consumers or provides services, as well as an entrepreneur who delivers products to the buyer directly or through other entrepreneurs.

“Consumer” (Buyer) means a person who purchases products or uses services for personal use or for members of their household and who, when concluding and performing a consumer contract, does not act within the scope of their business or other entrepreneurial activity.

“Buyer who is not a Consumer” means a person who, when concluding and performing a purchase agreement, acts within the scope of their business or other entrepreneurial activity.

Conclusion of the Purchase Agreement
The buyer’s order constitutes a proposal to conclude a purchase agreement. The purchase agreement is concluded at the moment the seller delivers binding acceptance of the proposal to the buyer, i.e. by binding confirmation of the order by the seller. From this moment, mutual rights and obligations arise between the seller and the buyer, defined by the purchase agreement and these Terms and Conditions. These Terms and Conditions form an integral part of the purchase agreement.

“Shopping Cart” means a part of the E-shop that is automatically generated by the User’s actions in the E-shop user interface, especially by adding or removing goods or services and/or changing the quantity of selected goods or services.

“Civil Code” means Act No. 40/1964 Coll., Civil Code, as amended.

“Operator” means the company ursa sport, s.r.o., Company ID: 44737530, with registered office at Revolučná 10, 010 01 Žilina.

“Login Credentials” mean a unique username and the associated password entered by the User into the E-shop database during Registration.

“Registration” means the electronic registration of a User into the E-shop database by completing at least the mandatory registration details in the E-shop user interface, including Login Credentials, and saving them in the E-shop database.

“User” means any legal or natural person using the E-shop.

“User Account” means the part of the E-shop created for each User through Registration and accessible after entering Login Credentials.

“Goods” means an item offered for sale by the Operator to the User through the E-shop, including, where applicable, a license to use such item.


Process of Concluding the Contract

The Operator offers Users the conclusion of a Purchase Agreement through the E-shop. The offer is represented by the display of a button labeled “Order” in the E-shop interface.

By clicking the “Order” button, the User unconditionally accepts the Operator’s offer, and the Purchase Agreement is concluded.

The contract is concluded at the moment when the electronic information about clicking the “Order” button is delivered via the Internet to the server hosting the E-shop.

The User undertakes to provide truthful and complete information in the E-shop interface, especially a valid email address, identification details, and delivery address where applicable. The Operator is entitled to consider the provided data accurate and complete and is not obliged to verify it.

The Operator will send the User an email confirmation of the conclusion of the Purchase Agreement to the email address provided.


Purchase Agreement

By concluding the Purchase Agreement:

  • The User purchases the Goods selected in the E-shop and placed in the Shopping Cart in the chosen quantity and undertakes to pay the price stated for such Goods.

  • The Operator may withdraw from the Purchase Agreement at any time before dispatching the Goods, for any reason or without stating a reason.

  • The Operator may request additional confirmation of the order and may withhold shipment until such confirmation is received.

  • Packaging of the Goods is determined exclusively by the Operator.

  • The User is obliged to pay packaging and delivery costs as stated in the order.

  • The User may choose from the available payment methods displayed in the E-shop.

  • Any fees associated with a selected payment method are borne by the User.

  • In the case of bank transfer, the User must state the variable symbol specified by the Operator.

  • Payment is considered completed upon crediting the amount to the Operator’s account.

  • The Operator may provide discounts, which may be combined unless stated otherwise.

  • The purchase price does not include costs related to third-party payment services.

  • Ownership of the Goods passes to the User only after full payment.

  • Delivery times shown in the E-shop are indicative only.

  • The Operator will issue an electronic invoice to the User’s email address.

  • Any gift provided with the Goods is subject to a resolutory condition: if the Purchase Agreement is withdrawn from, the gift must be returned together with the Goods.

  • Warranty applies only to Consumers and only if explicitly stated for the Goods.

  • Claims for defective performance must be asserted at the Operator’s registered office or place of business.

  • If Goods are marked as used, the User purchases them in used condition with stated defects.

  • Risk of damage passes to the Consumer upon receipt of the Goods.

  • For non-Consumers, risk passes upon receipt as well.


User Account

Users may create a User Account by Registration and must protect their Login Credentials. The User bears full responsibility for misuse. In case of loss or compromise, the User must notify the Operator without delay.

The Operator may unilaterally amend these Terms and Conditions and notify Users via the E-shop or email. The User may reject changes within 7 days.


Consumer Information

Consumers have the right to withdraw from the Purchase Agreement within 14 days of receipt of the Goods. Detailed rules for withdrawal, returns, refunds, liability for diminished value, exceptions to withdrawal rights, and complaint handling apply in accordance with Slovak and EU law.

A withdrawal form constitutes Annex No. 1 to these Terms and Conditions.


Complaints Procedure

The Operator is responsible for defects present upon receipt. Consumers are entitled to repair, replacement, price reduction, or withdrawal under applicable law. Complaints must be handled within 30 days unless otherwise agreed.


Alternative Dispute Resolution (ADR)

Consumers may request remedy from the Operator and, if unsuccessful, initiate alternative dispute resolution under Act No. 391/2015 Coll. Complaints may also be submitted via the EU ODR platform.


Personal Data Protection

Personal data are processed in accordance with GDPR and Act No. 18/2018 Coll. Details are set out in the Privacy Policy.


Cookies

The Operator processes cookies, including persistent cookies, with the User’s consent for 12 months, for personalization, analytics, and marketing purposes.


Use of the E-shop

The Operator grants the User a non-exclusive license to use the E-shop and may modify or temporarily suspend its operation. Users must comply with applicable laws.


Final Provisions

These Terms and Conditions are governed by the laws of the Slovak Republic and are effective from 29 November 2023.
